Eleni Shiarly is an associate partner practising in the firm’s corporate and commercial law department having joined the firm in 2010 as an associate. Her areas of practice are primarily corporate law, cross border transactions, banking and secured financing, with a special focus on capital markets, financial services and virtual assets, regularly advising on blockchain, securities and exchange laws and regulations.

Areas of Practice


Eleni is involved in the drafting and reviewing of various types of legal contracts as well as the provision of legal opinions, incorporation of private and public companies in Cyprus and general company administration matters. Her work also includes advising on and undertaking transactions involving the transfer of registered office (either to Cyprus or from Cyprus), due diligence exercises and company liquidations.

Eleni advises on matters regarding the Cyprus regulatory framework and corresponding EU directives and regulations on capital markets including the prospectus law, market abuse, takeover bids law as well as all legal aspects involved in the listing of Cyprus companies on local and foreign stock exchanges. She particularly assisted on the successful listing of a public company on the Warsaw Stock Exchange which involved amongst others the preparation of the prospectus and advising on all Cyprus corporate law matters relating to the IPO.

Eleni renders advice in relation to the financial services industry particularly corporate regulatory matters concerning investment firms, fund managers, funds and credit/financial institutions on issues relating to, inter alia, permitted activities, licensing, authorization and passporting requirements concerning such entities and the implications of offering and providing financial services to customers in Cyprus.

Eleni advises on banking regulatory matters, and in particular, assesses the viability and compliance of offering and providing products and services covered by the Cyprus Banking and Payment Services law on a local and cross border basis. She also advises on the local incorporation and licensing procedures and requirements for credit institutions in Cyprus.

A considerable part of her work in this practice area, consists of advising local and international banks in relation to secured financing transactions by drafting and/or reviewing loan and facility agreements, share pledge agreements, guarantees and other security documents and assisting with the completion of perfection requirements and security registration.

Eleni’s background and extensive experience in financial services regulations allow her to assist clients with navigating the developing areas of law and regulation involving cryptoassets. She can advise clients interested in raising funds through initial coin offerings (ICOs) or security token offerings (STOs) and clients interested in providing services in relation to cryptoassets, by either advising on licencing or ongoing compliance with regulatory requirements. Eleni has extensive experience in advising overseas clients in establishing a physical presence in Cyprus and is well placed to assist any cryptoassets focused businesses in doing so.
