Don’t Miss the Deadline: Annual Confirmation of Information in Cyprus UBO Register

All companies incorporated or registered under the Companies Law, Cap. 113, all European public limited liability companies (SE) and all partnerships required to disclose beneficial ownership information in the Cyprus Register of Beneficial Owners of companies and other legal entities (the “UBO Register”), are reminded of their obligation to complete the annual confirmation of their beneficial owners or senior management officials between 1 October and 31 December 2025.

This requirement applies even if no changes have occurred in the relevant details since the date of the last filing. Where a change or other update takes place within the confirmation period, or where a relevant entity must make its initial filing in the UBO Register within the confirmation period, the update or initial filing must be submitted first, followed by the confirmation by the 31 December deadline. If an update occurs after the confirmation has taken place, no further action is required.

Non-compliance will lead to administrative fines starting at EUR 100 for the first day of delay and EUR 50 for each additional day, up to a maximum penalty of EUR 5,000. These fines are automatic and apply irrespective of any potential criminal liability for failing to comply with relevant statutory obligations.
