Nicoletta Kouvara Pantelides is a Partner at Chrysostomides, having joined the firm in 2009 as a Senior Associate. She previously worked for over six years in Cyprus and in London. She works with domestic and international clients, including banking institutions, funds and international corporations, the majority of which are in the energy, mining, metals, telecommunications, technology, transportation, real estate and agricultural sectors.
Her practice areas include corporate and commercial law, M&A transactions, regulatory banking, secured financing, capital markets, investment services and funds.

Nicoletta deals with all aspects of corporate and commercial law, mainly focusing on drafting of commercial agreements, corporate governance rules for both private and public companies, including board procedures, director responsibilities and shareholder relations, forming new corporate structures and reorganizing existing structures. She advises clients’ business and in house legal teams on complex group transactions as well as on legal issues arising from the day-to-day operations. She works with domestic and international clients, the majority of which are in the energy, mining, metals, telecommunications, technology, transportation, real estate and agricultural sectors. She recently acted for a leading vertically integrated aluminium and power producer, and advised on various aspects of Cyprus law relating to the restructuring of the company and listing of its GDRs on the London Stock Exchange, in a deal worth USD 1.5 billion.
Nicoletta is particularly involved in the banking and finance practice of the firm, regularly providing expert advice to local and international credit institutions on all aspects of banking and MiFID II regulatory compliance, capital requirements, product development and corporate governance.
Given her combined experience with regulatory banking, capital market and M&A transactions she has dealt with acquisitions and public takeovers of credit institutions. A notable example is that of the acquisition of the majority stake in a credit institution in Cyprus, listed on the Cyprus Stock Exchange, by a non-EU credit institution and the successful completion of a mandatory take-over bid and subsequent delisting of the same from the Cyprus Stock Exchange. She advised on and assisted with all aspects of this transaction, including, the negotiation and completion of the share purchase agreements, being particularly involved in advising the clients on all the local banking licence requirements, as well as, compliance requirements of take-over laws, transparency laws and stock exchange rules.
She regularly negotiates and advises on complex multi-million cross- border secured financing transactions, where she acts for international financing institutions, such as Morgan Stanley, Silicon Valley Bank, J&T Banka, Credit Suisse and Royal Bank of Scotland, as well as for lenders which are international corporations involved, inter alia, in the energy, oil, gas, technology, transportation sector.
Nicoletta is regularly involved in large and complex mergers and acquisitions, where she specialises in drafting joint venture agreements and purchase agreements, restructuring of private and public companies, transfer of seats, mergers (both local and cross-border), takeovers particularly in relation to public companies.
Certain high-profile M&A transactions, include: acting for Cargill (one of the biggest agricultural companies worldwide) on its acquisition of 25% plus one share of indirect interest in a grain terminal in the Russian port Novorossiisk; advising Tiger Realm Coal on all Cyprus law related aspects of its successful acquisition of a company which owns coal mining tenements.
Nicoletta advises international investment banks and investment firms on regulatory issues relating to MIFID II and MIFIR, including, the review and drafting of various agreements and policies compliant with MIFID and MIFIR legal framework.
She deals with investment management projects, advising on corporate, regulatory and licensing issues relating to all types of investments funds (AIFs, UCITS) and fund managers.
She is an active member of the Legal and Regulatory Committee of the Cyprus Investment Funds Association (CIFA).
Nicoletta specialises in capital markets where she has been involved in the IPO and secondary rights issue of shares and GDRS for public companies on the regulated and non-regulated markets in Cyprus, Hong Kong and London. She has extensive experience with public take-over bids of listed companies, also advising on all the legal requirements relating to listed companies and securities, including market abuse and transparency requirements.
