Marie Thomas joined the firm as an Associate in June 2016, after having completed her legal training with us. She had previously gained valuable work experience at Freshfields Bruckhaus Deringer LLP (London), and from her internships at the Court of Justice of the EU (Luxembourg) and the International Criminal Court (The Hague). Marie primarily focuses on commercial and corporate law, secured financing, mergers and acquisitions, corporate restructuring and trusts, advising both local and international clients.
Marie regularly advises corporate clients on matters relating to the incorporation and management of companies, including companies limited by guarantee, and in this context, she reviews and drafts corporate, constitutional and security documents, and issues corporate capacity legal opinions. She also advises in relation to shareholders agreements and has undertaken the transfer of corporate seats, whether to or out of Cyprus, the increase or decrease of share capital, the conversion of a private to a public company and the dissolution of companies.
Marie has also dealt with the drafting of complex commercial agreements, service agreements and option agreements covering a wide spectrum of sectors such as real estate, retail, technology and automotive.
Marie deals with both domestic and cross-border M&A transactions, having acted for both buyers and sellers and she frequently advises on the validity and effectiveness of contractual arrangements.
Marie has been involved in demergers and large and complex mergers and acquisitions and appears before the District Courts of Cyprus to present the necessary applications and obtain the relevant orders.
Marie has advised on Cyprus International Trusts, usually on behalf of high net worth individuals, covering issues related to asset protection and preservation of private wealth but also the private international law implications, breach of trust or fiduciary duty claims, challenges to the validity of the trust including allegations of sham or fraud. In this context, Marie advises trustees, protectors and other fiduciaries, personal representatives, beneficiaries and creditors from a Cyprus law perspective. She regularly drafts trust deeds, deeds of appointments and resignations of trustees, deeds of distribution and deeds for change of proper law.
Notable examples of her recent work include advising and providing trustee services to a trust holding a multi-million EUR trust fund, which is currently subject to litigation proceedings.
Marie frequently advises national and international banks in relation to secured financing and, in this context, she deals with the drafting and updating of standard or tailored made legal documents, such as loan, assignments and security agreements, guarantees, share pledge agreements and escrow agreements. She is regularly involved in the review of financing and security agreements as well as corporate authorities for the purpose of preparing and issuing legal capacity and enforceability opinions and assists with the completion of perfection requirements and security registration.
Examples of her recent work in this practice area, includes participating in a multi-jurisdictional project, whereby the firm was engaged to provide Cyprus legal advice and guidance to some of the largest European banks concerning the safekeeping of securities and the provision of custodian services, so as to ensure compliance with EU laws and Directives issued by the Central Bank of Cyprus and the Cyprus Securities Exchange Commission.
